Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the DIGITTO Media website, AI Workers platform, and related services (the “Services”) provided by DIGITTO Media, LLC (“DIGITTO,” “we,” “us,” or “our”), a Florida limited liability company. By accessing or using the Services, creating an account, or hiring an AI Worker, you agree to these Terms.
1. The Service
DIGITTO provides subscription access to AI Workers — software agents that perform business tasks according to the configurations, instructions, boundaries, and connected systems you set. Workers act on your instructions and the systems you authorize. You remain solely responsible for:
- Reviewing all Worker output before relying on it or taking action.
- Setting appropriate oversight, review modes, and human-in-the-loop controls.
- Ensuring your use of the Services and any connected systems complies with all applicable laws, regulations, and third-party terms.
- The accuracy, legality, and appropriateness of the instructions, configurations, and data you provide.
AI Workers automate work but do not guarantee any particular outcomes, accuracy, completeness, or suitability for your purpose.
2. Eligibility and Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to bind the entity you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3. Billing and Cancellation
Worker seats are billed monthly in advance and renew automatically until canceled. Usage-based components (including but not limited to voice minutes or other metered features) are billed in arrears at the rates shown in your dashboard. You may cancel any Worker or your subscription at any time via the dashboard; cancellation stops the next renewal. Fees already paid are non-refundable except as required by law or expressly stated otherwise. We may change pricing with reasonable notice; continued use after the change constitutes acceptance.
4. Acceptable Use
You may not use the Services, or permit Workers to be used, for:
- Unlawful communications, spam, or activity that violates applicable law.
- Harassment, fraud, defamation, or infringement of the rights of others (including intellectual property, privacy, or publicity rights).
- Any activity that could reasonably be expected to cause harm, liability, or reputational damage to DIGITTO, other users, or third parties.
- Misrepresenting Worker output as human-generated where disclosure is required by law or platform rules.
- Attempting to reverse-engineer, interfere with, or overload the Services.
We may suspend or terminate access immediately if we reasonably believe these Terms are being violated.
5. Your Data and Content; License
You retain all ownership rights in your business data and in the output that Workers produce for you. You grant DIGITTO a limited, worldwide, non-exclusive, royalty-free license to use, process, store, and transmit your data and content solely as necessary to operate, maintain, and provide the Services to you (as further described in our Privacy Policy). You represent and warrant that you have all necessary rights and permissions to provide the data, credentials, and instructions you supply, and that our processing of them will not violate any law or third-party rights.
6. Intellectual Property
The Services, platform, software, branding, and all related intellectual property remain the exclusive property of DIGITTO and its licensors. No rights are granted except the limited right to use the Services in accordance with these Terms.
7. Feedback
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation to you.
8. Third-Party Services and Integrations
The Services may interoperate with third-party tools you choose to connect. Your use of those tools is governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, security, or any data they process.
9. Disclaimers
THE SERVICES AND AI WORKERS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE. AI SYSTEMS CAN PRODUCE INCORRECT, BIASED, OR UNEXPECTED RESULTS. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICES AND RELIANCE ON WORKER OUTPUT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIGITTO AND ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO DIGITTO FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations; in those cases, the limitation applies to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless DIGITTO and its affiliates, officers, directors, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services or Worker output; (b) your configurations, instructions, or connected systems; (c) your violation of these Terms or any law; or (d) any claim that your data or content infringes the rights of a third party.
12. Termination
We may suspend or terminate your access immediately for breach of these Terms, non-payment, or if we reasonably believe continued access would create risk or liability. Upon termination, your right to use the Services ceases. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.
13. Changes to the Terms
We may update these Terms from time to time. We will provide notice via email or the dashboard. Continued use after the effective date constitutes acceptance of the updated Terms.
14. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Orange County, Florida, and you hereby consent to personal jurisdiction and venue there.
15. General
If any provision is held unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and DIGITTO regarding the Services and supersede prior agreements on the subject. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms do not create any agency, partnership, or employment relationship.
